Preamble

GJMP, a simplified joint-stock company (SAS) with share capital of forty-two thousand five hundred euros (€42,500), whose registered office is located at 549 avenue des Courcettes, 06220 Vallauris, France, registered with the Antibes Trade and Companies Register on 18 May 2026 under number 104 608 823 (SIREN 104 608 823; head-office SIRET 104 608 823 00019; APE/NAF code 6312Z) (hereinafter "Boatlib" or the "Company"), publishes and operates the Boatlib platform, accessible at www.boatlib.com (hereinafter the "Platform").

These general terms of use (hereinafter the "Terms") set out the terms and conditions under which the Company makes the Platform available to Users.

The Platform is currently in a beta phase. During this phase, all features are made available free of charge. The pricing shown on the Pricing page will take effect upon commercial launch, with a minimum notice period of thirty (30) days by email.

Any use of the Platform implies full and unreserved acceptance of these Terms.

Article 1 — Definitions

  • "Platform": the website www.boatlib.com and any digital channel published by the Company that provides access to the Services.
  • "Services": all of the features offered by Boatlib.
  • "User": any adult natural person or legal entity holding an Account (Owner, Provider or Technician).
  • "Owner": a User who uses the Platform to manage the maintenance of one or more boats.
  • "Provider": a marine industry professional registered on the Platform to offer services within a defined Service Radius.
  • "Technician": a natural person attached to a Provider and authorised by that Provider to operate via the Platform.
  • "Intervention": any marine service (maintenance, repair, cleaning, upholstery, engines, electrics, winterising, etc.) ordered via the Platform.
  • "Request": a solicitation sent by an Owner to Providers able to carry out an Intervention.
  • "Beta phase": the current operating period of the Platform, as defined in Article 5.
  • "Content": all information, text, images, videos, data, comments and files published on the Platform.

Article 2 — Identification of the publisher and the host

Host: OVH SAS, 2 rue Kellermann, 59100 Roubaix — RCS Lille Métropole 424 761 419 — Tél. : 1007. OVH also provides file storage (photographs, documents, backups) and the delivery of the Platform's transactional emails.

The complete list of the Platform's technical subprocessors (payment, mapping, accounting, monitoring) is set out in Article 6.3 of the Privacy Policy.

Article 3 — Acceptance and enforceability of the Terms

Access to and use of the Platform are subject to acceptance of these Terms. When creating an Account, the User expressly accepts the Terms and the Privacy Policy by ticking the box provided for that purpose.

The Terms accepted are those in force on the date of acceptance. The Company reserves the right to amend them under the conditions set out in Article 14.

Article 4 — Description of the Services

The Services offered during the beta phase include in particular:

  • Account creation: Owner Account (boat management) and Provider Account (professional listing).
  • Marketplace and messaging: searching for Providers, issuing Requests, integrated messaging linked to Requests (Owner ↔ Provider exchanges, with access for the designated Technician) and support tickets with the Company (see Article 11.4).
  • Digital boat logbook: equipment inventory, Intervention history, photographs.
  • Intervention tracking: Quotes, Appointments, Intervention reports, ratings.
  • Quotes and invoices: issuance of quotes and invoices by Providers, with optional accounting synchronisation to Pennylane for Providers who have connected their account.
  • Document vault: storage by the Owner of documents related to their boats, with expiry alerts.
  • Online payment: where this feature is offered, payment of subscriptions and Interventions via the payment service provider Stripe (see Article 5.2 and the Privacy Policy).

The Company reserves the right to modify the Services at any time. Changes that do not substantially degrade the Services do not give rise to any right to compensation.

Article 5 — Beta phase

5.1. Provision as is. The Platform is provided "as is", without any guarantee of service continuity, availability, performance or freedom from errors. Interruptions may occur without notice.

5.2. Free during the beta. During the beta phase, all features are free. The pricing schedule shown on the Pricing page (Discovery, Essential, Professional and Enterprise plans) has no contractual value during this phase. The "Get notified of the launch" button allows users to express interest without subscribing. Once paid plan subscriptions are open, payment is made online via the payment service provider Stripe, at the pricing conditions of the Pricing page in force on the date of subscription; payment data is processed under the conditions described in Article 4.5 of the Privacy Policy.

5.3. Migration. Upon commercial launch, the Company will offer the migration of existing Accounts with a minimum notice period of 30 days. A User who declines the migration may terminate free of charge.

5.4. Limitations. The Company's liability during the beta is limited in accordance with Article 15.4. The Company may suspend or end the beta phase at any time without compensation.

Article 6 — Access to the Platform and Account creation

6.1. Conditions of access. Access is open to any adult natural person or legal entity. Registration by minors is prohibited.

6.2. Owner. The Owner provides first name, last name, email, telephone, postal address and password. They warrant the accuracy of the information and undertake to keep it up to date.

6.3. Provider. The Provider provides the manager's contact details, the company name, the SIRET (where applicable), the workshop's address and geolocation, the Service Radius (1-500 km) and the service categories. Activation is subject to email address verification.

6.4. Technicians. Technician Accounts are created by the Provider from their workspace. The Provider is solely responsible for the actions of its Technicians.

6.5. Security. The User is solely responsible for keeping their credentials confidential. Any unauthorised use must be reported without delay to contact@boatlib.com.

Article 7 — Boatlib's role and status

7.1. Technical intermediary. Boatlib is an online platform operator (Article L. 111-7 of the French Consumer Code) and a technical host (LCEN). It applies the transparency and moderation rules set out by the DSA and the P2B regulation.

7.2. Not a party to the contract. The service contract is concluded exclusively between Owner and Provider. Boatlib is not a party to it and does not guarantee the performance, quality or conformity of Interventions.

7.3. Ranking criteria. Results depend on: service relevance, geographic proximity, availability and length of time on the Platform. No paid ranking during the beta phase.

Article 8 — Common obligations

In particular, the User shall refrain from:

  • providing inaccurate or misleading information;
  • creating multiple Accounts or an Account in the name of a third party without authorisation;
  • infringing the rights of third parties (intellectual property, privacy, reputation);
  • publishing Content that is unlawful, insulting, hateful, discriminatory or contrary to public order;
  • diverting the Platform by contacting, outside the platform, Providers or Owners identified through it;
  • accessing Boatlib's systems without authorisation, collecting data by automated means or introducing malicious code.

Article 9 — Obligations specific to the Owner

The Owner undertakes to:

  • provide accurate information about the boat and its equipment;
  • describe the Request precisely;
  • enable the Provider to carry out the Intervention (access, keys, specific features);
  • pay the agreed price to the Provider, directly or, where offered, via the Platform's online payment feature;
  • submit good-faith ratings based on genuine experience.

Article 10 — Obligations specific to the Provider

The Provider undertakes to:

  • carry out its activity in compliance with applicable regulations (registration, qualifications, insurance, tax law, labour law);
  • keep its information up to date (company name, SIRET, address, Service Radius, services);
  • take out and maintain the required insurance (professional liability);
  • accurately describe its services, prices and timeframes;
  • respond diligently to Requests and carry out Interventions in a workmanlike manner;
  • handle Owners' complaints within a reasonable time.

The Provider is solely responsible for carrying out Interventions and indemnifies Boatlib against any claim relating to its services.

Article 11 — Reviews, ratings and Content

11.1. Submitting reviews. When the review feature is enabled, reviews must be based on genuine experience and written in respectful language.

11.2. Moderation. Boatlib may moderate Content. In the event of a moderation measure, the User is informed of the reasons and has a right of appeal at contact@boatlib.com.

11.3. Licence. The User grants Boatlib a non-exclusive, royalty-free licence, for the legal term, to reproduce and distribute their Content solely for the purposes of operating, promoting and improving the Platform.

11.4. Internal messaging. The Platform provides messaging linked to Requests (exchanges between the Owner, the relevant Provider and, where applicable, the designated Technician) as well as a support channel with the Company. Messages (text and photographs) constitute Content within the meaning of these Terms. The User undertakes to use the messaging exclusively in connection with Requests and support, in respectful language, and shall refrain from publishing unlawful content, sensitive third-party data or solicitations unrelated to the purpose of the Platform. The anti-circumvention prohibition set out in Article 8 applies to messaging exchanges. Conversations linked to a Request become read-only thirty (30) days after closure (Request completed or cancelled); they remain accessible to their participants.

11.5. Messaging supervision and moderation. The User is expressly informed that the Company's administrators may view all conversations in the internal messaging, including private conversations linked to Requests, for the purposes of supervision, moderation, fraud prevention and dispute handling. This access is limited to those purposes and governed by the Privacy Policy. The messaging is therefore not private correspondence with respect to the Company.

Article 12 — Intellectual property

The Platform, its interfaces, databases, software, texts, graphic charters and the "Boatlib" trademark (registered with the EUIPO under number 019320764, classes 9, 35, 37 and 42) are the exclusive property of the Company. The "Boatlib" trademark is a contraction of "Boat" and "Logbook".

Any unauthorised reproduction or use is strictly prohibited and constitutes an act of infringement.

The Company grants the User a personal, non-exclusive, non-transferable and revocable right of use for the duration of their Account.

Article 13 — Term, suspension and termination

13.1. Term. The Terms are concluded for an indefinite period as from their acceptance.

13.2. Termination by the User. The User may terminate their Account at any time from their personal area or at contact@boatlib.com.

13.3. Termination by Boatlib. In the event of a breach, the Company may suspend or terminate the Account after a formal notice that has remained unheeded (15 days), except in the case of a serious breach justifying immediate action.

13.4. Consequences. Termination results in loss of access to the Account. Obligations that by their nature are intended to survive (intellectual property, liability, personal data) remain in force.

Article 14 — Amendment of the Terms

The Company may amend the Terms at any time. Users are informed of any substantial change at least thirty (30) days before it takes effect. Continued use after the change takes effect constitutes acceptance.

Article 15 — Liability

15.1. Availability. The Company makes its best efforts to ensure the accessibility of the Platform. It cannot be held liable for occasional interruptions or for force majeure events.

15.2. Limitation (professional Users). Towards professional Users, liability is limited to direct damages and capped during the beta at €100 per User per year. The Company is not liable for indirect damages (loss of revenue, customers or business).

15.3. Force majeure. The Company is not liable for breaches resulting from a force majeure event (Article 1218 of the French Civil Code) or from the act of a third party.

15.4. Enhanced beta-phase limitation. The User acknowledges that the Platform is provided without any warranty of merchantability, fitness for a particular purpose or continuity. Liability is limited to the reasonable consideration of reported malfunctions.

Article 16 — Personal data

In connection with the use of the Platform, the Company processes personal data as data controller, in accordance with the GDPR and the French Data Protection Act. The purposes, legal bases and data subjects' rights (access, rectification, erasure, objection, portability) are detailed in the Privacy Policy available on the Platform.

The User may exercise their rights at contact@boatlib.com and has the right to lodge a complaint with the CNIL.

Article 17 — Complaints

Any complaint may be sent to contact@boatlib.com. Boatlib endeavours to respond within thirty (30) days. The P2B regulation remains applicable to professional Users.

Article 18 — Miscellaneous provisions

  • Entire agreement: the Terms, the Privacy Policy and the legal notice express the entirety of the parties' rights and obligations.
  • Partial invalidity: the invalidity of one provision does not affect the others.
  • No waiver: failure to invoke a breach does not constitute a waiver.
  • Assignment: the Company may assign the Terms, in particular in connection with the take-over of acts performed on behalf of GJMP SAS (in formation) upon its final registration.
  • Evidence: the computerised records constitute evidence of the communications that took place between the parties.

Article 19 — Governing law and jurisdiction

These Terms are governed by French law. Any dispute shall, failing an amicable resolution, fall within the exclusive jurisdiction of the courts having jurisdiction over the Company's registered office, subject to the mandatory rules applicable to consumer Users.
